Congress Did Not Write the Rule. The SEC Wrote One Anyway.

On September 15 the Senate failed to advance the CLARITY Act. Two days later the SEC issued what it calls the Innovation Exemption. It lets qualifying venues trade tokenized shares of listed stocks outside the usual exchange rules. The relief runs five years and then expires. Where a share may legally change hands now has an administrative answer rather than a statutory one.

The Breakdown
Today's disagreement: the legislature left the market structure question open, and the regulator answered it with relief that expires.

01
The Bill Stalled
Cloture on the Digital Asset Market Clarity Act failed in the Senate on September 15. Sixty votes were needed. The House passed its version in July 2025 and Senate Banking advanced it 15 to 9 in May.
02
The Regulator Moved
Two days later the SEC exempted qualifying Tokenized Securities Venues from the exchange definition. Liquidity providers in those pools got relief from dealer registration. Each venue is capped on symbols and on volume.
03
And Then It Ends
The exemptions expire five years after publication. The order asks for public comment on what should replace them. Robinhood, Coinbase and Circle each closed 3% to 4% higher that day.

Where a Share Is Allowed to Live

The Story Everyone Filed

The coverage ran it as a crypto story. Tokens, blockchains, exchanges with app-store names. Three listed companies popped on the news and the wires moved on. Read it that way and it is a sector headline about a corner of the market most readers will never touch.

What the Order Actually Does

It is not a crypto rule. It is an equity market structure rule. The SEC lifted the exchange definition from a new class of venue. Ordinary listed shares can now trade there in tokenized form. Liquidity providers in those pools no longer register as dealers. The relief is conditional and capped, by symbol count and by volume. And it was granted by order, not by statute, because the statute failed two days earlier.

Why the Wrapper Matters

Most investors think about what they own. Fewer think about the legal wrapper it sits in and the venue it trades on. Those two things set your settlement, your custody, your recourse and how fast you can sell. A public listing is one wrapper. A private placement is another. A tokenized claim on a listed share is now a third, for five years, under conditions the regulator can revisit. The perimeter moved and nobody voted on it.

QUIZ: The IEA measured an energy source at 140 times global electricity demand. Where is it?
A) The Middle East  B) Offshore Alaska  C) The Permian Basin  D) Under the desert near the Grand Canyon
Reaching it was supposed to be impossible, the government said drilling through three miles of rock would take 64 days. A crew did it in 16. Since then: a 15-year Google contract, $100 million from Bill Gates, and a Washington tax advantage running through 2033.
What to Watch From Here

Two things. First, the comment file. The order asks what a permanent framework should look like, and the answers will come from the venues that want the business. Second, whether the Senate schedules another cloture motion this session. If it does not, five-year relief becomes the working law of the land by default. Watch the first venue to actually list under it. That is when the conditions get tested rather than described.

A law lasts until it is repealed. An exemption lasts until it runs out.
